Terms and Conditions

Basic terms and conditions for any projects created under the DeltaWeb (Pty) Ltd name.

Terms must be agreed to prior to start of project. Updates to this page can be made without prior notice.

Please email any queries about the terms. DeltaWeb (Pty) Ltd is not registered for value added tax (VAT).

 

General

• Quotations and estimates are free of charge and the client is under no obligation until the quotation is accepted by the client.

• Quotations are valid for 30 days from the creation date of the quotation, unless stated differently on the quotation itself.

• Prices on estimates are not binding.

• A deposit of up to 50% is required.  A project will only commence after all required documents are filled out and/or signed, the quotation is accepted and the deposit paid.

• Once a project has been initiated it is generally accepted by the staff of Deltaweb (Pty) Ltd that the client has read, fully understood and accepted the company’s terms and conditions stated herein, regardless of the document being signed by the client

• Completed artwork will be sent via email or on disk supplied by the client, unless the website is hosted by DeltaWeb (Pty) Ltd, in which case the website will be uploaded to our server on a sub-domain allocated specifically for website testing.

• Deltaweb (Pty) Ltd reserves the right to use any or all designs created by any of the Deltaweb (Pty) Ltd designers for promotional purposes without prior notice to the client. These designs will, however, not be re-used for other design purposes for a different client or personal use or altered in any way.

• Company information (in text format), as well as logos and artwork (or photographs) to be used/adjusted (vector/freehand/high quality) must be electronically supplied by the customer, unless they are to be created by one of the Deltaweb (Pty Ltd) designers as part of a project.

• Any additional work, author's corrections or changes and updates will be charged for at an hourly rate (dependent on task, to be verified at commencement of task) or will be invoiced for separately.

• Changes must be requested in writing (email).

• Clients must ensure they have the usage rights for all material supplied. Under no circumstances will DeltaWeb (Pty) Ltd, our designers or any associates be held responsible for any copyright disputes.

• If it becomes clear that material was provided without the required usage rights, changes to a project (to remove illegal content) will be at the client's cost. DeltaWeb (Pty) Ltd does not take any responsibility for content supplied without proper usage rights whatsoever.

• The Date of Completion (DoC) of a project is affected by feedback and the receiving of content as well as estimated deadlines will be adjusted accordingly.

• We cannot be held responsible for delays outside of our control, e.g. equipment failure or weather conditions.

• Courier fees will be billed to the client.

• All work is paid for via Electronic Funds Transfer (EFT) or cash (minus deposit) on delivery (COD) unless otherwise stated. If the product is not paid for on time of delivery, the product will not be handed over to the client or uploaded to the server as agreed.

• Interest of 10% per month will automatically be charged for on all work not paid for within 7 days from the payment date specified.

• If a project is cancelled at any time, all fees up to that point of work will be calculated and invoiced. This is payable within 7 days of invoice date.

• No refunds will be given once the design process has been initiated.

• All work remains the sole property of DeltaWeb (Pty) Ltd until final payment is received.

 

Graphic Design

• Images and logos supplied must be of high quality (larger than the size in which it will appear on the design).

• Any specifications for the design(s) must be supplied by the customer by completing our Graphic Design Client Brief.

• As DeltaWeb (Pty) Ltd does not handle printing, we will have no further involvement and the client will enter into an agreement directly with the printer of the client’s own choice. We will, however, assist the client in finding a quality printing service if required.

• Contact details for the client’s printer must be supplied at the start of the project. We can contact them for print design requirements to ensure optimal design quality.

• A project will only be released once it has been proofed, signed and dated by the client. Therefore we take no responsibility for print errors.

• Screen colours and digital proofs can vary from litho printing. To ensure colour and print quality it is the client's responsibility to request a colour proof from the printers.

• The design of a project will be billed for even if the client chooses not to print or to cancel the project.

• The number of concepts and review stages for a design is specified by the design package chosen, otherwise in the quote after coming to an agreement either via telephone or email.

• The number of concepts and review stages for a design is final. Any changes made afterwards will be charged for at an hourly rate.

 

Web Design and Development

• Quotes do not include domain name registration or hosting (except if hosting is paid for in advance).

• The client will be invoiced for hosting once the website design is finalised.

• Domain name registration fees are included in our design fees and are therefore not paid for directly by the client.

• All content must be supplied electronically within 1 month of the commencement of a project.

• Images and logos supplied must be of high quality (larger than the size in which it will appear on the design).

• Any specifications for the design(s) must be supplied by the customer by completing our Website Design Client Brief.

• A project will only be released/uploaded to the respective website host once it has been proofed by the client. Once the client confirms that the website can be launched, we take no responsibility for any website content errors.

• We endeavour to create websites that perform well in current major browsers, but cannot guarantee backward compatibility.

• We cannot guarantee search positions or rankings of websites, but include search engine optimisation (SEO) in the form of metatags, structure and basic content recommendations.

• Metatags are to be provided by the client.

• If the client wishes to make use of a hosting company other than Deltaweb (Pty) Ltd, the client is required to pay 50% of the total design cost extra for white listing (complete usage/design rights and control over the website). Only after payment has been made will all rights of the website design be released to the client.

• In the case that a website needs to be uploaded to a host other than DeltaWeb (Pty) Ltd, the client will have to provide us with FTP and database details when required, or with contact details of the server to which the website must be uploaded.

• If the client uses a service provider on our recommendation, the client will enter into an agreement directly with them.

• The design of a website will be billed for even if the client chooses not to use the website or if the project is cancelled.

• The number of concepts and review stages for a website design is agreed to prior to commencement of the project via email.

• The number of concepts and review stages for a website design is final. Any changes made afterwards will be charged for at an hourly rate.

 

Meetings

• Meetings and consultations (in person, via email or Skype or telephonic) are free of charge.

• A travel fee may be required if venue is further than 20 km radius of DeltaWeb (Pty) Ltd Head Office.

• Email queries will be responded to free of charge.

 

Procedure followed when working on a project, post-agreement

1. The design team creates a basic layout or design with specifications made by the client.

2. The design team sends a preview of the product (or the product is pre-launched, in case of a web-based product) to the client for proofing.

3. The client has the right to request minor changes to the product (the number of which is decided beforehand via agreement or the package chosen by the client). We call this the review stages of a product.

4. The product is shown to the client (either via email or pre-launch of a web-based product) after each review stage. All extra review stages that are not agreed upon beforehand will be billed accordingly.

5. Once the client is satisfied with the product, it has to be signed and dated and sent back to the design team. In the case of a website design, the client has to admit acceptance via email.

6. Any changes made after the client has signed and dated the proof (or admitted acceptance), will be billed for accordingly.

7. DeltaWeb (Pty) Ltd will not be held responsible for any faults found after the proof has been signed and dated by the client.
